Job Description

We are seeking a highly skilled and experienced Corporate Lawyer / Legal Counsel to join our dynamic in-house legal team. This pivotal role will involve providing comprehensive legal advice and support across all facets of our business operations, ensuring compliance with Canadian and international laws. The successful candidate will play a critical role in managing legal risks, drafting and negotiating contracts, and advising on corporate governance matters. We are particularly interested in candidates who may require a Certificate of Sponsorship (CoS) to work in Canada, and we are prepared to support the right individual through this process.

Key Responsibilities

  • Provide expert legal advice on a broad range of corporate and commercial law matters.
  • Draft, review, and negotiate various commercial agreements, including vendor contracts, partnership agreements, and client service agreements.
  • Ensure corporate compliance with all relevant legislation, regulations, and internal policies.
  • Manage legal aspects of corporate transactions, including mergers, acquisitions, and divestitures.
  • Advise on intellectual property matters, data privacy, and cybersecurity compliance.
  • Support the human resources department on employment law issues and policies.
  • Conduct legal research and provide opinions on complex legal questions.
  • Assist with litigation management and dispute resolution as required.
  • Maintain up-to-date knowledge of legal developments relevant to the company's business sectors.

Required Skills

  • Juris Doctor (JD) or Bachelor of Laws (LLB) from an accredited institution.
  • Admitted to the Bar in a Canadian province or eligible for immediate admission.
  • Minimum of 5 years of post-qualification experience in corporate/commercial law, preferably within an in-house legal department or a reputable law firm.
  • Proven experience in drafting and negotiating complex commercial contracts.
  • Strong understanding of corporate governance principles and regulatory compliance.
  • Excellent analytical, problem-solving, and decision-making abilities.
  • Superior communication, negotiation, and interpersonal skills.
  • Proficiency in legal research and writing.
  • Eligibility for Certificate of Sponsorship (CoS) if applying from outside Canada.

Preferred Qualifications

  • Experience in the sustainable energy, manufacturing, or technology sectors.
  • Fluency in additional languages relevant to international business.
  • Experience with international legal frameworks and cross-border transactions.
  • Postgraduate degree (e.g., LL.M.) in a relevant field.
